休斯顿中国联合校友会章程
I. General Provisions
- The organization is named “休斯顿中国联合校友会”, in English The United Associations of Chinese Alumni at Houston, abbreviated UACA.
- UACA is a non-political, non-profit and non-religious federation of organizations.
- UACA is a federation of alumni associations from across China and local student and scholar associations in Houston. There is no hierarchy between UACA and its member associations; the relationship is one of cooperation and friendship.
- UACA’s purpose is to promote friendship and exchange among alumni from across China and with the wider community, and to provide service and help to its members.
II. Membership
- The decision-making body of UACA is the Board, composed of the President, Vice Presidents, Treasurer and the president (or authorized representative) of each member association. A Vice President may also serve as Treasurer.
- The President and Vice Presidents serve one-year terms and must come from different associations; no association may hold the presidency twice within three consecutive years. Any board member may nominate a President, who is elected by more than half of the Board. Vice Presidents are nominated by the President-elect and confirmed by more than half of the Board. In extraordinary circumstances, a two-thirds majority of the Board may remove the President or a Vice President.
- For continuity, a member association’s new president shall respect the votes of the predecessor. After a decision by its own board, an association may freely withdraw from UACA by filing a written statement. Newly formed or previously withdrawn associations may apply to join, and are admitted with the approval of more than half of the Board.
- With the approval of more than half of the Board, the President and Vice Presidents may take part in community activities in UACA’s name. Activities or statements with significant impact on UACA’s reputation require a two-thirds majority. A member association that disagrees may ask not to be listed. Member associations may decline individual UACA activities, and then do not share in their benefits. The President may approve expenses under $100 without Board approval; expenses over $100 require approval by half of the Board.
- Every board member is obliged to respond promptly to notices and attend meetings. Members who do not respond or attend are counted as abstaining.
III. Annual Meeting
- The Board holds an annual meeting at which the President reports on the year’s work. The Treasurer reports on finances to the Board twice a year. The annual meeting elects the new President and Vice Presidents, adopts and amends the bylaws, and discusses the next year’s plan. Amending the bylaws requires a two-thirds majority of the Board.
- If the President resigns before the term ends, a Vice President serves out the term. If a Vice President resigns, the President may nominate a replacement, who takes office upon approval by half of the Board.
- Former board members may be invited by the current Board to serve as advisors, without limit on number. Advisors are not obliged to attend meetings or reply to notices and do not vote. Advisors may resign at any time, and the Board may adjust the list of advisors at the annual meeting.
